Transaction Sweepstakes Rules:

NO PURCHASE NECESSARY. A PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING. BY ENTERING THE SWEEPSTAKES, YOU AGREE TO THESE OFFICIAL RULES, WHICH ARE A CONTRACT, SO READ THEM CAREFULLY BEFORE ENTERING. WITHOUT LIMITATION, THIS CONTRACT INCLUDES INDEMNITIES TO THE SWEEPSTAKES ENTITIES FROM YOU AND A LIMITATION OF YOUR RIGHTS AND REMEDIES.

Promotion Period: Sweepstakes begins at 12:00:01 a.m. Pacific Time (“PT”) on January 17, 2023 and ends 11:59:59 p.m. PT on January 31, 2023 (“Sweepstakes Period”).

Eligibility: This Sweepstakes is open to any legal resident of the 50 United States and the District of Columbia (except residents of Puerto Rico), who are at least 18 years of age or the age of majority in their state of residence, whichever is greater at the time of entry, and is an employee of an Eligible Provider during the Sweepstakes Period.  An “Eligible Provider” is a business that is currently is an active PatientFi Provider in good standing after activation of account in compliance with the relevant Provider Agreement terms are available at the following locations:

How to Enter: To enter, three (3) transactions must be processed and approved by unique patient borrowers of the Eligible Provider before the end of the Sweepstakes Period. The transaction must be submitted through the PatientFi Provider Portal using a valid and active user account and the transaction must subsequently be approved by the patient borrower to be valid. A transaction is defined as a patient borrower, who has been approved for financing through the PatientFi Program, reviewing and selecting a promotional plan for financing for their elective healthcare needs with the Eligible Provider and then approving said transaction by agreeing to their loan obligations via the Borrower Portal after receiving the email or text authorization notice that is generated through the Provider Portal. In the event of a dispute regarding the identity of the person submitting an electronic entry, the entry will be deemed to be submitted by the authorized account holder in whose name the provided email account is registered. Entries made by any mass duplication, automatic, robotic, or programmed method, or through any promotion entry, notification, or related service, or in any manner not in compliance with the requirements of these Sweepstakes Rules are invalid and will be disqualified.

Drawing: Five (5) prize winners will be randomly selected from all eligible entries received during the Sweepstakes Period. The random drawings shall be conducted on or about February 3, 2023, by representatives designated by PatientFi. Odds of winning depend on number of eligible entries received during the Sweepstakes Period. PatientFi decisions are final and binding on all matters relating to this Sweepstakes. Potential winners will be notified via email. A winner will have 7 days to respond back to the prize notification. If a prize notification email is returned or unanswered within the allotted time (7 days) or if a potential winner declines the prize or is ineligible, an alternate winner will be selected by random drawing of the remaining eligible entries. As a condition of awarding the prize: (1) you consent to PatientFi’s use of your name for promotional purposes, including posting of the winner’s name in a winners list, in social media and via online announcements, without additional compensation, except where prohibited by law, and if requested by PatientFi, the winner is required to sign and return an affidavit of eligibility/publicity and liability release within the time specified by PatientFi. If a winner is ineligible, cannot be contacted, fails to timely return an affidavit/release as specified by PatientFi, declines the prize, or if the prize is returned as undeliverable, an alternate winner will be selected. If, in PatientFi; opinion, there is any suspected or actual evidence of tampering with any portion of the promotion, or if technical difficulties compromise the integrity of the promotion, PatientFi reserves the right to terminate the promotion and conduct a random drawing to award the prize using all entries received as of the termination date.

Prizes: Five (5) winners (one per Eligible Provider) will be awarded the following prizes: a gift basket comprised of self-care, beauty products, and similar items chosen solely by PatientFi. PRIZES WILL BE ACCEPTED “AS IS” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED (INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE). Eligible Providers have neither made nor are in any manner responsible or liable for any warranty, representation or guarantee, express or implied, in fact or in law, relative to a prize, including express warranties provided exclusively by a prize manufacturer that may be sent along with a prize. All taxes, if applicable, are the sole responsibility of the winner. Odds of winning depend upon the number of eligible entries received during the Sweepstakes Period. Limit one prize per Eligible Provider. Winners should allow 6 to 8 weeks from notification for delivery of the prizes. The total estimated of all prizes available to be won is $7,500. All prizes awarded are subject to verification of eligibility and compliance with these Sweepstakes Rules.

General Conditions: By participating in the Sweepstakes, you agree to release, discharge, indemnify and hold harmless PatientFi, its subsidiaries and affiliates, and each of their respective officers, directors, shareholders, employees and agents (collectively, “Released Parties”) from any liability or damages which may arise out of participation in the Sweepstakes or out of the acceptance, use, misuse or possession of any prize attained through this Sweepstakes. You agree that any promotion methods that you use to promote PatientFi products and services to prospective PatientFi customers shall be in accordance with all applicable laws and regulations.

PatientFi reserves the right at any time to modify, suspend or cancel the Sweepstakes or the Sweepstakes Rules at any time. Any changes PatientFi makes will be effective immediately on notice, which it may give either by posting on the Sweepstakes Website, PatientFi.com or via e-mail. Your participation in the Sweepstakes after such notice will be deemed acceptance of such changes. You should review these Rules periodically to ensure familiarity with the most current version. All questions or disputes regarding the Sweepstakes, including without limitation, those involving eligibility, participation, fraud and abuse will be resolved by PatientFi.

PatientFi also reserves the right to disqualify and deregister any winner in the event that PatientFi determines that winner has violated any of these Rules, which determination shall be final. In the event of such disqualification or deregistration, winner forfeits the rights to receive, and PatientFi is not obligated to honor or pay any prizes which vest on or after the date of such effective disqualification or deregistration.

Except where prohibited, all issues and questions concerning the construction, validity, interpretation and enforceability of these Rules, or the rights and obligations of the participant and PatientFi in connection with the Sweepstakes, shall be governed by, and construed in accordance with, the laws of the State of California, without giving effect to any choice of law or conflict of law rules (whether of the State of California, or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of California.

PatientFi Marks: You acknowledge that PatientFi’s names, logos, trademarks, service marks and other intellectual property (collectively, “PatientFi Marks”) are the exclusive property of PatientFi, LLC and that you do not have any proprietary rights therein. You may only use and display PatientFi Marks to the extent specifically designated or authorized in advance by PatientFi. Any marketing materials, communications and displays produced by you shall: (1) be produced at your sole cost and expense; (2) comport with reasonable standards of good taste; (3) comply with PatientFi’s then-current marketing and legal compliance guidelines and rules, which may be updated from time to time; and (4) comply with applicable laws. For the avoidance of doubt, all publications or public displays using PatientFi Marks must be reviewed and approved in advance by PatientFi prior to first use. All PatientFi Marks are and will remain the sole property of PatientFi. The permissions to PatientFi Marks are revocable by PatientFi at any time in PatientFi’s sole discretion upon thirty (30) days’ notice and immediately without opportunity to cure if, in our sole discretion, you infringe or improperly use or publish any of our Marks. For avoidance of doubt, all applicable federal, state and local laws and regulations apply.

No Prohibited Actions: You agree not to take any action which is or may be interpreted to be detrimental to the brand, trademark or interests of PatientFi, including without limitation, attempting to make transactions or receive rewards in a manner inconsistent with these Rules or the intent of these Rules, attempting to earn rewards through illegitimate channels, participating in fraud, or tampering with Sweepstakes.

WARRANTY DISCLAIMER: PATIENTFI MAKES NO EXPRESS OR IMPLIED WARRANTIES OR REPRESENTATIONS WITH RESPECT TO ANY SERVICES OR PRODUCTS CONTEMPLATED BY THIS AGREEMENT. PATIENTFI DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING, WITHOUT LIMITATION, FITNESS FOR A PARTICULAR PURPOSE, NONINFRINGEMENT, TITLE AND PROVIDERABILITY.

By participating in the Sweepstakes, you agree, affirm, and represent that you have read, understand and will comply with the Rules.

LIMITATION OF LIABILITY: PATIENTFI’S LIABILITY FOR DIRECT DAMAGES IS LIMITED TO $1,000. NEITHER PATIENTFI, NOR ITS AFFILIATES, SHALL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE OR CONSEQUENTIAL DAMAGES, OR ANY LOSS OF REVENUE, EVEN IF PATIENTFI HAS BEEN INFORMED IN ADVANCE OF SUCH DAMAGES OR SUCH DAMAGES COULD HAVE REASONABLY BEEN FORESEEN BY PATIENTFI. THE PARTIES ACKNOWLEDGE AND ACCEPT THE REASONABLENESS OF THE DISCLAIMERS AND LIMITATIONS OF LIABILITY SET FORTH IN THIS PROVISION.
